Terms & Conditions

Effective Date: January 1, 2026

These Terms & Conditions govern the use of services provided by Natural Flow Consulting.

1. Services

Natural Flow Consulting provides consulting services as outlined in individual agreements, proposals, or service schedules. Scope varies depending on the service selected.

2. Payment Terms

  • FLOW services are billed at the start of each four (4) week billing period

  • The initial invoice is due five (5) days prior to the agreed start date

  • Services begin only once payment is received in full

  • Ongoing invoices are due within ten (10) days of issuance

  • All fees are quoted and billed in CAD and are exclusive of applicable taxes (including GST), which will be added to invoices.

Early Entry Evaluations and BUILD tools are payable in full prior to delivery.

3. Retainer & Renewal

FLOW services operate on a recurring four (4) week billing cycle:

  • Agreements automatically renew each cycle

  • A minimum of fourteen (14) days’ written notice is required to cancel before the next term

  • Pricing may be updated with advance notice

4. Scope & Additional Work

Any services outside the agreed scope must be approved in writing and may be billed separately.

5. Independent Contractor

Natural Flow Consulting operates as an independent contractor and is not an employee, partner, or agent of the client.

6. Confidentiality

Both parties agree to keep confidential any non-public business, operational, or strategic information shared during the engagement.

7. Intellectual Property

All tools, templates, frameworks, and materials developed or used by Natural Flow Consulting remain its property.

Clients are granted a limited, non-transferable license to use deliverables internally once all fees have been paid in full.

8. Limitation of Liability

To the fullest extent permitted by law:

  • Natural Flow Consulting is not liable for indirect or consequential damages, including loss of profits or business interruption

  • Total liability is limited to the fees paid within the 12 months preceding any claim

9. Scheduling & Availability

Service delivery timing and scheduling are managed at the discretion of Natural Flow Consulting. Reasonable adjustments may occur due to availability, planned time off, or unforeseen circumstances.

10. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada.
